Eligibility and User Responsibilities

Payment Terms
Payment Obligations
- Payments for Services are outlined in the applicable Service Agreement, including due dates, amounts, and schedules.

- Late payments may incur a late fee of 1.5% per month (or the maximum allowed by law) on the outstanding balance.
- Refunds, if applicable, are handled on a case-by-case basis as specified in the Service Agreement.

Intellectual Property
Client Ownership
Upon full payment for Services, you receive ownership of custom deliverables created specifically for you (e.g., website designs, software, or marketing content), as outlined in the Service Agreement, subject to the limitations below.
Digital Edge Rights
We retain ownership and rights to:
- Our proprietary methodologies, frameworks, tools, and templates.
- Pre-existing intellectual property used in delivering Services.
- General knowledge, skills, and experience gained during projects.
- The right to showcase deliverables in our portfolio or marketing materials, with your prior consent.
License & Third-Party Materials
You grant Digital Edge a non-exclusive, royalty-free, worldwide license to use, reproduce, and modify any content or materials you provide solely for the purpose of providing the Services.
If third-party materials are used, you are responsible for complying with their licensing terms, unless otherwise specified in the Service Agreement.
Confidentiality
We will treat any confidential information you provide (e.g., business plans, proprietary data) with care and use it only to perform the Services. We will not disclose such information without your consent, except as required by law or to protect our rights. You agree to treat any confidential information shared by Digital Edge (e.g., proprietary methodologies) with the same care.
Privacy and Data Protection
We are committed to protecting your privacy and the security of your data. Our data handling practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference. You agree to comply with applicable data protection laws when providing personal data to us.
Limitation of Liability
To the maximum extent permitted by law, Digital Edge, its affiliates, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of the Website or Services, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount paid by you for the Services giving rise to the claim.
Termination
Termination by Either Party
Either party may terminate Services as outlined in the Service Agreement, typically with 30 days' written notice. Upon termination, you remain responsible for all outstanding payments for Services rendered.
Termination for Cause
We may terminate or suspend your access immediately if you breach these Terms, engage in unlawful activities, or fail to make timely payments.
Effect of Termination
Upon termination, any licenses granted to you for deliverables will cease (subject to full payment), and you must stop using any Digital Edge intellectual property.
Dispute Resolution
Informal Resolution
If a dispute arises, you agree to first attempt to resolve it informally by contacting us at axel.barreto@digitaledgeagencyllc.com. We will work in good faith to resolve the issue within 30 days.
Arbitration
Any disputes not resolved informally shall be settled by binding arbitration in New York, New York, under the rules of the American Arbitration Association. Each party will bear its own costs, and the arbitrator's decision will be final.
Exceptions
This arbitration clause does not apply to claims involving intellectual property rights or actions seeking injunctive relief.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in New York, New York.
